SIGMA advises InterEnergy on $262.7 million Green Project Bond Financing

SIGMA acted as Panamanian counsel to InterEnergy Group in connection with the US$262.7 million
senior secured bond offering by UEP Penonomé II, S.A., the largest wind farm in Central America. This is
the first green project bond issuance by a private company in Central America. The bonds we offered
and sold pursuant to Rule 144A and Regulation S under the Securities Act and listed on the Panama
Stock Exchange and the Singapore Exchange.

Citigroup acted as sole global coordinator and book-runner. Milbank acted as New York counsel to the
issuer and Shearman & Sterling acted as New York counsel to Citigroup.
UEP Penonomé II, the issuer, and Tecnisol I, Tecnisol II, Tecnisol III, and Tecnisol IV, the guarantors, own
and operate the largest unconventional renewal energy generation business in Central America. The
projects consist of five wind farms with a combined capacity of 215 MW and four photovoltaic (PV) solar
projects with a combined installed capacity of 40MW.
